Terms of Service

Plain-language summary (the full terms below govern): Colpan is a local-first desktop app sold as a monthly subscription. Your documents are processed on your own machine and are never uploaded to our servers. Payments are handled by Paddle as merchant of record. You can cancel anytime, effective at the end of the billing period. AI features rely on third-party model providers and their availability. AI output can be wrong — verify before relying on it. Our liability is limited as described in Section 12.

1. Agreement

These Terms of Service ("Terms") are an agreement between you and ReviseTouch ("ReviseTouch", "we", "us"), the developer and operator of the Colpan desktop application and the colpan.app website (together, the "Service"). By purchasing a subscription, activating a license, or using the Service, you accept these Terms. If you use the Service on behalf of a company, you confirm you are authorized to bind that company.

2. The Service

Colpan is a local-first document intelligence application: indexing, search, preview, OCR, conversion and PII detection run on your own device. We do not receive, store or process the contents of your documents on our servers. Subscription plans additionally include a monthly managed AI allowance (Section 6).

Features described as "coming soon", "beta" or "roadmap" are not part of the current Service and are not guaranteed to be delivered.

3. Ordering and payment

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles payment processing, applicable VAT/sales taxes, invoicing and payment data; your purchase is also subject to Paddle's buyer terms. We never receive or store your card details.

Prices are listed in USD and exclude VAT/sales tax, which is calculated at checkout based on your location. We may change prices; changes take effect at your next renewal and we will give you reasonable advance notice of any increase, so you can cancel before it applies.

4. Subscription term, renewal and cancellation

Subscriptions are billed monthly and renew automatically until cancelled.
You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.
Refunds are governed by our Refund & Cancellation Policy and applicable consumer law.
If a renewal payment fails or a subscription is cancelled or refunded, access to the managed AI allowance may be suspended or disabled.

5. Plans, license keys and device seats

Each plan includes a number of device seats. You may activate the Service on that many devices, and you may share seats with people you trust. All seats draw on the same monthly AI allowance. You are responsible for keeping your license key reasonably confidential and for activity under your license. Reselling, publicly posting, or commercially redistributing license keys or managed AI access is not permitted.

6. Managed AI allowance and third-party AI providers

The managed AI allowance is a monthly usage budget on AI models we make available through third-party providers. It renews each month and unused allowance does not roll over.
AI processing is performed by third-party model providers. When you use managed AI, the text you choose to send is transmitted to those providers (see our Privacy Policy).
Model availability, model classes and routing may change as providers change their offerings; we will keep each plan's overall capability materially equivalent.
Managed AI depends on third-party infrastructure; we do not guarantee uninterrupted availability of AI features. On any plan you may alternatively use your own API key (BYOK) or local models.
Fair use: automated bulk consumption designed to exploit an allowance, or use of the allowance to provide a service to third parties, may be limited or suspended.

7. Your content and your responsibilities

Your documents remain on your device and remain yours. We claim no rights over them.
You are responsible for having the legal right to process the documents you index, and for complying with the laws that apply to you (including data protection obligations toward third parties whose data appears in your documents).
The PII guard is a best-effort assist tool. It helps detect and mask personal data before text is sent to an AI model, but no automated detection is perfect. You review and approve what is sent; you remain responsible for the content you choose to send.
You will not use the Service for unlawful purposes or to process content you have no right to process.

8. AI output disclaimer

AI-generated output can be inaccurate, incomplete or misleading. Output is provided for your convenience only and is not legal, tax, medical, financial or other professional advice. You must independently verify AI output before relying on it, especially in professional contexts. We are not responsible for decisions made in reliance on AI output.

9. License and intellectual property

We grant you a non-exclusive, non-transferable, revocable license to install and use the Colpan application for the duration of your subscription, within your plan's limits. The application, website and brand are the intellectual property of ReviseTouch and its licensors. You may not reverse engineer, decompile or modify the application except to the extent such restriction is prohibited by applicable law.

10. Privacy

Our processing of personal data is described in the Privacy Policy, which forms part of these Terms.

11. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or completely secure. Nothing in this section limits warranties or remedies that applicable consumer law grants you and that cannot be lawfully excluded.

12. Limitation of liability

To the maximum extent permitted by applicable law:

We are not liable for indirect, incidental, special or consequential damages, loss of profits, loss of business, or loss of data (noting that your documents and indexes reside on your own device and their backup is your responsibility).
Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for wilful misconduct or gross negligence, or your non-waivable statutory consumer rights.

13. Suspension and termination

We may suspend or terminate access to the managed AI allowance or the Service where reasonably necessary: for material breach of these Terms, fraud or payment abuse (including fraudulent chargebacks), unlawful use, or security reasons. Where practicable we will notify you and give you an opportunity to remedy the issue. You may stop using the Service and cancel at any time.

14. Changes to the Service or these Terms

We may improve or modify the Service over time. We may update these Terms; for material changes we will provide notice (for example by e-mail or in-app) before they take effect at your next renewal. If you do not agree to updated Terms, cancel before they take effect.

15. Governing law

These Terms are governed by the laws of the Republic of Türkiye, and disputes are subject to the courts of Türkiye — without prejudice to any mandatory consumer protection rules or jurisdiction rights that apply in your country of residence.
